Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Suoja Inc. ("Suoja," "we," "us," or "our") governing your access to and use of the Suoja platform, including suoja.tech, app.suoja.tech, and the Suoja browser extensions (collectively, the "Service").

By creating an account, installing a Suoja extension, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Eligibility and Account Registration

To create a Suoja account, you must be at least 13 years of age. Guardian accounts (for monitoring children under 13) may only be created by a parent or legal guardian of the child being monitored.

You agree to provide accurate, complete, and current information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

Suoja reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

Permitted and Prohibited Uses

Permitted uses:

• Parents and legal guardians monitoring their minor children's AI platform activity
• Schools and educational institutions monitoring student AI usage on institution-managed devices with appropriate disclosure
• Enterprises monitoring employee AI usage on company-owned devices in compliance with applicable employment laws and with employee notice
• Individuals monitoring their own AI activity for personal safety

Prohibited uses:

• Monitoring any adult without their knowledge and consent
• Installing the extension on a device you do not own or have authority over
• Using Suoja for stalking, harassment, or any form of domestic abuse
• Attempting to reverse-engineer, decompile, or tamper with the Service
• Using the Service in violation of any applicable law or regulation
• Sharing Child Profile Codes with unauthorized third parties

Guardian Responsibilities

If you create a child profile and use Suoja to monitor a minor, you represent and warrant that:

• You are the parent or legal guardian of the child being monitored
• You have the legal right and authority to install monitoring software on the child's device
• You will use monitoring data solely for the child's safety and wellbeing
• You will not use Suoja as a tool for controlling, manipulating, or abusing a child
• You affirm that the child being monitored has been informed that Suoja is installed and active on their device, in an age-appropriate manner
• You will use Suoja in a manner consistent with maintaining trust and open communication with the child

Suoja is a safety tool, not a surveillance tool. We reserve the right to terminate accounts that appear to be used for harm rather than protection.

Intellectual Property

The Suoja platform, including its software, design, trademarks, logos, and content, is owned by Suoja Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

The name "Suoja" and the Suoja shield logo are trademarks of Suoja Inc.

Disclaimers and Limitations

Suoja uses AI-based detection to identify potentially harmful content. The Service is not perfect, and is not a clinical, medical, or emergency response tool. Suoja may miss harmful content (false negatives) or flag safe content (false positives). Suoja is a supplementary safety layer and is not a substitute for parental supervision, professional mental health care, emergency services, or open communication with children about online safety. If you or someone you know is in immediate crisis, contact 988 or local emergency services.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUOJA DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL SUOJA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Cap on Total Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUOJA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE, REGARDLESS OF THE FORM OF ACTION OR LEGAL THEORY, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO SUOJA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Termination

You may terminate your account at any time by contacting us at legal@suoja.tech. We may suspend or terminate your account if you violate these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. We will delete your account data in accordance with our Privacy Policy.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Dispute Resolution

Most concerns can be resolved by contacting us at legal@suoja.tech. We will work in good faith to resolve any dispute informally before any formal proceeding.

Individual Disputes. You retain the right to bring an individual claim against Suoja in small claims court or, where applicable, before a regulatory authority.

Class Action Waiver. YOU AND SUOJA AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. If a court determines this class action waiver is unenforceable, this entire Dispute Resolution section is null and void.

Time Limit. Any claim arising from your use of the Service must be brought within one (1) year after the cause of action arose. Claims brought later are permanently barred.

Indemnification

You agree to indemnify, defend, and hold harmless Suoja Inc., its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of these Terms
• Your misuse of the Service
• Your violation of any law or regulation in connection with your use of the Service
• Your violation of any third party's rights, including privacy rights
• Your use of the Service to monitor any person without the legal authority or consent required by law

This indemnification obligation survives termination of your account and of these Terms.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Continued use of the Service after changes constitutes your acceptance of the updated Terms.
